Terms of Use Agreement

1. Acceptance of Terms
By accessing and using Sumic Online ("the Platform"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use the Platform.
2. Definitions
- "Platform" refers to Sumic Online website, mobile applications, and all related services
- "User" refers to any person or entity accessing or using the Platform
- "Buyer" refers to any User purchasing products or services through the Platform
- "Supplier/Seller" refers to any User offering products or services for sale
- "Content" refers to all text, images, data, and materials on the Platform
- "Transaction" refers to any commercial activity conducted through the Platform
3. User Accounts
3.1 Account Registration
You must register for an account to access certain features. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Responsibilities
You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with these obligations.
3.3 Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms of Use or engage in fraudulent, illegal, or harmful activities. You may also terminate your account at any time through your account settings.
4. Use of the Platform
4.1 Permitted Use
You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform to engage in any activity that violates any applicable law or regulation, infringes on intellectual property rights, transmits harmful code or malware, or interferes with the Platform's operation.
4.2 Business Conduct
All users must conduct business in good faith. Buyers and Suppliers must fulfill their obligations as agreed. Misrepresentation of products, services, or business credentials is strictly prohibited. Price manipulation, bid rigging, or other anti-competitive practices are not allowed.
4.3 Communication Standards
All communications through the Platform must be professional and respectful. Harassment, threats, spam, or abusive language will result in account suspension. Users must respond to inquiries and messages within reasonable timeframes.
5. Transactions and Payments
All transactions are conducted between Buyers and Suppliers. Sumic Online acts as a facilitator and is not a party to the transaction. Payment terms, shipping arrangements, and other conditions are agreed upon between Buyers and Suppliers. We recommend using our Trade Assurance service for added protection.
6. Fees and Charges
Sumic Online may charge fees for certain services, including but not limited to premium memberships, featured listings, and transaction services. All fees are clearly displayed before you commit to a service. Fees are non-refundable except as required by law or as specified in our Refund Policy.
7. Intellectual Property Rights
All content on the Platform, including text, graphics, logos, images, and software, is the property of Sumic Online or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.
8. Limitation of Liability
Sumic Online is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim. This limitation applies to all claims, whether based on warranty, contract, tort, or any other legal theory.
9. Indemnification
You agree to indemnify and hold harmless Sumic Online, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of another party.
10. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through a notice on the Platform. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Uganda. Any disputes arising from these Terms or your use of the Platform shall be resolved in the courts of Kampala, Uganda. Users agree to submit to the exclusive jurisdiction of these courts.
Privacy Policy

1. Information We Collect
1.1 Personal Information
We collect information you provide directly to us, including: name, email address, phone number, company name, business registration details, billing and shipping addresses, payment information, and identification documents for verification purposes.
1.2 Automatically Collected Information
When you use the Platform, we automatically collect: IP address, browser type and version, device information, operating system, pages visited and time spent, referral sources, and cookies and similar tracking technologies.
1.3 Business Information
For Suppliers, we collect: product listings and descriptions, pricing information, inventory data, sales and transaction history, customer reviews and ratings, and business performance metrics.
2. How We Use Your Information

3. Information Sharing and Disclosure
3.1 With Other Users
When you engage in transactions, certain information (such as your business name, contact details, and public profile) is shared with the other party to facilitate the transaction.
3.2 With Service Providers
We share information with third-party service providers who perform services on our behalf, including payment processing, shipping and logistics, data analytics, marketing, and customer support. These providers are bound by confidentiality agreements.
3.3 For Legal Reasons
We may disclose your information if required by law, in response to legal processes, to protect our rights and property, to prevent fraud or security issues, or to protect the safety of our users and the public.
3.4 Business Transfers
In the event of a merger, acquisition, or sale of assets, your information may be transferred to the acquiring entity. We will notify you of such changes via email or through a prominent notice on the Platform.
4. Data Security
We implement appropriate technical and organizational measures to protect your personal information against unauthorized access, alteration, disclosure, or destruction. These measures include encryption, secure servers, access controls, and regular security audits. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.
5. Your Rights and Choices
- Access: Request a copy of the personal information we hold about you

- Deletion: Request deletion of your personal information (subject to legal requirements)
- Objection: Object to processing of your information for certain purposes

6. Data Retention
We retain your personal information for as long as necessary to fulfill the purposes outlined in this Privacy Policy, unless a longer retention period is required by law. Transaction records are retained for 7 years for accounting and legal compliance. Inactive accounts may be deleted after 3 years of inactivity.
7. International Data Transfers
Your information may be transferred to and processed in countries other than your country of residence. We ensure appropriate safeguards are in place to protect your information in accordance with this Privacy Policy and applicable data protection laws.
8. Children's Privacy
The Platform is not intended for individuals under the age of 18. We do not knowingly collect personal information from children. If you believe we have collected information from a child, please contact us immediately, and we will delete such information.

Transaction Services Agreement

1. Overview of Transaction Services
Sumic Online provides transaction services to facilitate secure trade between Buyers and Suppliers. These services include payment processing, escrow services, order management, dispute resolution, and transaction protection. By using these services, you agree to the terms outlined in this agreement.
2. Trade Assurance Program
2.1 Program Coverage
Trade Assurance protects your payment from placement to delivery. Coverage includes: product quality as described, on-time shipment as agreed, and safe delivery to destination. The program covers up to the full transaction amount including product cost and agreed shipping fees.
2.2 Eligibility Requirements
To be eligible for Trade Assurance: transaction must be processed through the Platform, Supplier must be verified and enrolled in the program, order must meet minimum value threshold, and all terms must be documented in the order agreement.
2.3 How It Works
Buyer places order and makes payment. Funds are held in secure escrow. Supplier prepares and ships products. Buyer receives and inspects products. If satisfied, Buyer confirms receipt and payment is released to Supplier. If issues arise, Buyer can file a claim for review.
3. Payment Processing
3.1 Accepted Payment Methods
We accept: bank transfers, mobile money (MTN, Airtel Money), credit/debit cards (Visa, Mastercard, Amex), PayPal, and other region-specific payment methods. All payments are processed securely through PCI-DSS compliant payment processors.
3.2 Payment Security
We use industry-standard encryption and security measures to protect payment information. We do not store complete credit card numbers. All financial data is encrypted in transit and at rest. Regular security audits ensure compliance with international standards.
3.3 Transaction Fees
Buyers: No transaction fees for standard purchases. Suppliers: Transaction fees apply based on sales volume (typically 2-5%). Currency conversion fees may apply for international transactions. Detailed fee schedule available in your account dashboard.
4. Order Fulfillment
Suppliers must fulfill orders according to agreed terms. This includes: shipping within the specified timeframe, providing accurate tracking information, packaging products securely, and meeting quality standards as described. Failure to fulfill orders may result in penalties, refunds, or account suspension.
5. Refunds and Returns
Buyers may request refunds for: products not as described, defective or damaged products, products not received, or quality issues verified through inspection. Refund requests must be made within 30 days of delivery. All refund requests are subject to review and verification. Approved refunds are processed within 5-10 business days.
6. Escrow Services
For high-value transactions, we offer escrow services where payment is held securely until both parties fulfill their obligations. Escrow fees apply based on transaction value. Funds are released only when Buyer confirms satisfactory receipt or after the inspection period expires. Escrow services provide maximum protection for both parties.
7. Chargebacks and Disputes
If you dispute a charge with your bank or card issuer, we may suspend your account pending investigation. We will provide documentation to support the transaction. Fraudulent chargebacks may result in permanent account termination and legal action. We encourage users to resolve disputes through our internal resolution process first.
8. Transaction Records
All transactions are recorded and accessible through your account dashboard. Records include: order details, payment receipts, shipping information, and communication history. Transaction records are maintained for 7 years for accounting and compliance purposes. You can download invoices and statements at any time.
Intellectual Property Protection Policy

1. Commitment to IP Protection
Sumic Online is committed to protecting intellectual property rights and preventing the sale of counterfeit, pirated, or infringing products. We maintain a zero-tolerance policy for IP violations and work closely with rights holders to enforce their rights on our Platform.
2. Types of IP Protected
- Trademarks: Brand names, logos, and distinctive marks
- Copyrights: Original creative works, designs, and content
- Patents: Inventions and innovative product designs
- Trade Dress: Distinctive product packaging and appearance
- Trade Secrets: Confidential business information
- Geographical Indications: Region-specific product designations
3. Prohibited Activities
- Selling counterfeit products bearing fake trademarks
- Unauthorized reproduction of copyrighted materials
- Manufacturing or selling patented inventions without license
- Using another company's brand name or logo without permission
- Creating confusion about product origin or affiliation
- Selling products that infringe on registered designs
4. IP Rights Program (IPP)
4.1 Program Enrollment
Rights holders can enroll in our IP Rights Program to proactively protect their intellectual property. Enrollment provides: priority handling of infringement reports, proactive monitoring of listings, access to IP management dashboard, and expedited takedown procedures.
4.2 How to Enroll
Submit enrollment application with proof of IP ownership (trademark registration, copyright certificate, patent documents). Provide authorized representative information. Specify products and brands to monitor. Review and sign IP Protection Agreement. Enrollment typically processed within 5-7 business days.
5. Reporting IP Infringement
5.1 How to Report
To report IP infringement: complete our online IP Complaint Form, provide your contact information and proof of IP rights, identify the infringing listing with URL or product ID, explain how the listing infringes your rights, and include supporting documentation (registration certificates, authorization letters).
5.2 Investigation Process
We review all reports within 24-48 hours. Seller is notified and given opportunity to respond. We evaluate evidence from both parties. Decision made based on applicable law and Platform policies. Actions range from listing removal to account suspension. Outcomes communicated to both parties.
5.3 False Claims
Submitting false or fraudulent IP claims is a serious violation. Consequences include: report being dismissed, account suspension, legal liability for damages, and permanent ban from the Platform. Only submit claims if you have good faith belief in infringement.
6. Counter-Notification
If your listing is removed for alleged infringement and you believe the removal was in error, you may submit a counter-notification. Provide evidence that you have rights to sell the product (authorization letters, distribution agreements, proof of authenticity). We will review and may reinstate the listing if counter-notification is valid.
7. Repeat Infringers
Sellers with multiple verified IP violations will face escalating penalties: first violation - warning and listing removal, second violation - 30-day suspension, third violation - permanent account termination. We maintain records of all violations and share information with law enforcement when appropriate.
Prohibited and Restricted Items Policy

1. Policy Overview
To ensure user safety, comply with laws, and maintain Platform integrity, certain items are prohibited or restricted from being listed, sold, or purchased on Sumic Online. This policy applies to all users regardless of location. Violations may result in listing removal, account suspension, and legal action.
2. Prohibited Items
- Illegal Drugs and Substances: Narcotics, controlled substances, drug paraphernalia
- Weapons and Explosives: Firearms, ammunition, explosives, military equipment
- Counterfeit Goods: Fake branded products, pirated media, unauthorized replicas
- Stolen Property: Items obtained through theft or other illegal means
- Human Parts and Remains: Organs, blood, body parts, human remains
- Endangered Species: Protected animals, plants, and derived products
- Hazardous Materials: Toxic chemicals, radioactive materials, biohazards
- Adult Content: Pornography, sexual services, explicit materials
- Fraudulent Documents: Fake IDs, diplomas, passports, currency
- Hacking Tools: Software for unauthorized access, cracking tools
3. Restricted Items
The following items may be sold only with proper licenses, certifications, or compliance with specific regulations:

- Chemicals and Industrial Materials: Require safety data sheets
- Live Animals: Require permits and humane handling certification

- Telecommunications Equipment: Must meet local regulatory requirements
4. Requirements for Restricted Items
Sellers of restricted items must: obtain and maintain all necessary licenses, provide documentation upon request, comply with age verification requirements, follow proper packaging and labeling standards, meet shipping and handling regulations, and maintain required insurance coverage.
5. Regional Restrictions
Some items may be legal in one jurisdiction but prohibited in another. Sellers must research and comply with laws in both origin and destination locations. Buyers are responsible for ensuring imported items comply with local regulations. We may block shipment of items to certain regions based on legal requirements.
6. Reporting Violations
If you discover prohibited items on the Platform: click "Report This Listing" on the product page, select violation type, provide detailed description, attach supporting evidence if available, and submit the report. All reports are investigated promptly and confidentially.
7. Enforcement Actions
Violations of this policy result in: immediate listing removal, account suspension (temporary or permanent), forfeiture of seller fees and payments, reporting to law enforcement if applicable, and legal action for severe violations. We maintain zero tolerance for prohibited items, especially those posing safety or legal risks.
8. Policy Updates
This policy is updated regularly to reflect changes in laws, regulations, and Platform standards. Sellers are responsible for staying informed about prohibited and restricted items. Subscribe to seller updates to receive notifications of policy changes. Review this policy before listing any questionable items.
Dispute Resolution Policy

1. Dispute Resolution Framework
Sumic Online provides a fair, transparent, and efficient dispute resolution system to handle conflicts between Buyers and Suppliers. Our goal is to facilitate amicable resolutions while protecting the rights of all parties. We encourage direct communication first, but offer structured mediation and arbitration when needed.
2. Types of Disputes Covered
- Product Quality: Items not matching description or defective
- Delivery Issues: Late delivery, non-delivery, or shipping problems
- Payment Disputes: Payment not received, unauthorized charges
- Contract Violations: Failure to meet agreed terms
- Communication Problems: Unresponsive parties, miscommunication
- Return and Refund Issues: Disagreements over returns or refunds
3. Dispute Resolution Process
Step 1: Direct Negotiation (Days 1-5)
Contact the other party through Platform messaging. Clearly explain the issue with supporting evidence (photos, documents). Attempt to reach mutual agreement. Document all communications. Most disputes (70%) are resolved at this stage.
Step 2: Open Formal Dispute (Days 6-10)
If negotiation fails, open a dispute from your Order Dashboard. Submit dispute details and evidence. Other party is notified and has 48 hours to respond. Both parties can propose solutions. Platform team monitors progress.
Step 3: Mediation (Days 11-15)
If no agreement reached, case escalates to mediation. A neutral Platform mediator reviews evidence. Mediator facilitates communication between parties. Mediator proposes fair resolution based on evidence and policies. Parties can accept or reject mediation outcome.
Step 4: Arbitration (Days 16-21)
If mediation fails or parties reject outcome, case moves to binding arbitration. Independent arbitrator reviews full case file. Both parties submit final arguments. Arbitrator makes binding decision. Decision is final and enforceable. Platform executes the decision (refund, payment release, etc.).
4. Evidence Requirements
Strong evidence is crucial for successful dispute resolution. Provide: clear photos or videos of products, shipping/tracking documentation, order confirmation and communication records, inspection reports (if applicable), and receipts or invoices. The party making the claim bears the burden of proof.
5. Possible Outcomes
- Full Refund: Buyer receives complete refund, Supplier retains goods if returned
- Partial Refund: Compensation for defects or partial fulfillment
- Replacement: Supplier sends replacement product at their expense
- Reship: Supplier ships again if original was lost or damaged in transit
- Payment Release: Payment released to Supplier if obligations met
- Split Responsibility: Costs shared based on fault determination
- No Action: If claim is unfounded or lacks evidence
6. Time Limits for Filing
Disputes must be filed within specific timeframes: product quality issues - 30 days from delivery, non-delivery - 5 days after expected delivery date, payment issues - 15 days from transaction date, and other disputes - 45 days from issue occurrence. Late filings may not be accepted unless extraordinary circumstances exist.
7. Dispute Prevention Tips
- For Buyers: Read product descriptions carefully, communicate requirements clearly, inspect upon delivery and report issues immediately, keep all documentation and evidence
- For Suppliers: Provide accurate product descriptions, respond to inquiries promptly, ship on time with tracking, package securely to prevent damage, maintain quality standards
8. Appeals Process
If you believe a dispute decision was incorrect, you may appeal within 7 days. Appeals are reviewed by senior dispute resolution specialists. New evidence may be submitted. Appeal decisions are final. Appeals are granted only in cases of procedural errors or significant new evidence.
